| Nathan W. Bell (“Nate”) |

Nathan Bell is a founder and Managing Director of Pacific Private Capital, LLC, the general partner of the Fund. Previously he was a founder and the Managing Director of BW Capital Corporation; a San Francisco-area based mezzanine capital investment company. Prior to his involvement with PMF and BW Capital, Mr. Bell was employed by Berkeley International Capital Corporation and Prudential Capital Corporation. Mr. Bell has managed the private equity-risk capital investment in more than 50 companies in various stages of development. Mr. Bell received his Bachelor of Science degree from Weber State College in 1984 and his M.B.A. from the Harvard Business School in 1986. |

| W. Brad Winegar |
|
Brad Winegar is a Managing Director of Pacific Private Capital, LLC, the general partner of the Fund. Mr. Winegar joined the Fund after having spent 15 years with the Prudential Capital Group, the largest private fixed income investor in the United States. As a Senior Vice President, he was responsible for a $300 million portfolio of companies in Prudential's Workout Group in various sectors including discount retail, cable, transportation, technology, printing and oil and gas services. Previously, Mr. Winegar was based in Hong Kong where he was responsible for originating infrastructure investment opportunities and was instrumental in the establishment of the $246 million Asian Infrastructure Mezzanine Capital Fund. He received his BA with a double major in Economics and Accounting from Brigham Young University and an MBA from New York University |

| Nicole Dunderdale |
|
Nicole Dunderdale is the Controller for Pacific Mezzanine Fund where she is responsible for fund accounting and SBA compliance. Nicole worked for PricewaterhouseCoopers where she earned her CPA. After working at PwC, she worked for CBSMarketWatch.com in San Francisco as the assistant controller managing the accounting department and the SEC reporting for the company. She graduated from the University of Oregon with a degree in Business. |

| Aaron Taylor |

Aaron Taylor is an Associate at Pacific Mezzanine Fund. His responsibilities include reviewing investment proposals and financial modeling. He received his Bachelor of Science degree in Business Management with an emphasis in Finance from Brigham Young University in 2006. |
